BUSINESS DISTRICT SIGN AGREEMENT
This Sign Agreement ("The Agreement") is entered into in Gunnison County, Colorado on the ______ day of ________________, ______ between the Crested Butte South Property Owner's Association, Inc. a Colorado non-profit corporation ("Lessor"), and ________________________________ ("Lessee"), an open business for the public in the Crested Butte South Business/Commercial District, as follows:
1. ADVERTISING AGREEMENT, Lessor hereby leases to Lessee an ad space of 9"x24"x1 1/2" cedar blank for outdoor sign space to be located at the Business Directory Sign located on Lot 1, Block 5, Filing 1, Crested Butte South, Gunnison County, Colorado.
2. TERM. The term of this Agreement shall be for one year beginning on ___________________ and ending on _______________________.
3. RENT. Lessee shall pay the rental fee of __________________. All checks shall be made payable to the Crested Butte South Property Owner's Association, Inc.
4. USE. The sign space is being provided for the sole purpose of maintaining an outdoor signage display, and Lessee shall have the right to place and maintain a business sign in such space.
5. MAINTENANCE OF BUSINESS SIGN. Lessee shall be responsible for all maintenance of its Business Sign. Lessor, may at its option notify Lessee via U.S. Mail that its Business Sign requires maintenance ("Notice"). Lessee shall have fifteen (15) days from the date of Notice within which to make the required maintenance. If Lessee fails to comply with the terms of the Notice, the Business Sign may be removed at the option of Lessor.
6. SIGN PREPARATION. The preparation of all signs shall be performed by a commercial sign company ("Sign Company"). All advertising shall be placed on the wooden blank provided by the Crested Butte South Property Owner's Association. Lessee shall be solely responsible for delivering its advertising information to the Sign Company and for the accuracy of same.
7. APPROVAL OF SIGN. All signs must be approved by Lessor prior to the preparation of any sign.
8. ENTIRE AGREEMENT. This Agreement constitutes the entire and only agreement between the parties. All prior negotiations, agreements, representations and understandings, whether written or oral, are merged into and superseded by this Agreement and shall be of no further force and effect.
9. COUNTERPARTS. This Agreement may be executed in counterparts, each of which shall for all purposes be deemed an original and all of which together shall constitute one and the same agreement, document or instrument.
10. TELECOPIER (FAX) SIGNATURE. The parties agree that a signature to this Agreement transmitted by telecopier shall be the binding signature of such party for the purpose of this Agreement.
11. AMENDMENT. This Agreement cannot be modified, amended or changed in any manner except by an agreement in writing signed by the parties hereto.
12. APPLICABLE LAW. This Agreement is construed to be executed in Gunnison County, Colorado, and shall be interpreted, construed and governed by the laws of the State of Colorado.
13. ATTORNEY'S FEES. If any legal action is commenced or maintained in court, whether in law or in equity, by any party to this Settlement Agreement and Release as to the interpretation, enforcement, construction or the determination of the rights and duties of the parties to this document or any document provided herein, the prevailing party in any such action shall be entitled to reasonable attorney's fees together with all reasonable costs and expenses incurred in such action.
IN WITNESS WHEREOF, the parties hereto have executed this Business Sign Agreement the date first above written.
