CRESTED BUTTE SOUTH PROPERTY OWNER'S ASSOCIATION
Annual Meeting Minutes

August 6, 2005
Sunset Hall
Crested Butte South, Gunnison County, Colorado

Attendance included: Al Smith, Leigh Dillenback, Peter Carey, Casey Shook, Louise Johnson, Benita & Wes Bellamy, Roger & Marsha Henson, Bart Laemmel, John & Rita Harrington, Bo & Susan Guess, Angie Dumas, Jim Moore, Peggy Moore, Jeff Hanggi, Josh Murphy, Charley Dumas, Carl & Judy Jones, Julie Ann Woods. A total of 29 were counted in attendance.

Call to Order: Al Smith called the annual meeting to order at 9:05 a.m. Al Smith welcomed all in attendance and introduced himself as Vice President of the current Board of Directors, along with Leigh Dillenback, Secretary/Treasurer of the Board, Casey Shook, current Manager and Building Inspector for the Property Owners Association, and Louise Johnson, Staff Assistant of the P.O.A.

Reading of the Minutes of the previous meeting for information and approval: Al Smith waived the reading of the minutes from last year's annual meeting, But the minutes were made available for all in attendance to review, if they so desired. The minutes from the last meeting are also available at the P.O.A. office for the public's viewing at any time that the office is open.

Treasurer's Report: Financial Reports were summarized by Louise Johnson. Copies of the reports were made available to all in attendance. The reports will also be included in the minute's book of the 2005 Annual Meeting, which will be available for viewing in the P.O.A. office. Financial Reports presented were: Cash on Hand as of June 30, 2005, Balance Sheet of Assets, Liabilities, and Capital, as of June 2005, Financial Reports Compared to Annual Budget for six months ended June 30, 2005, the 2005 Budget, Income Statements for the first and second quarters of 2005.

Reports of Officers: Casey Shook informed those present that the association is changing the single family guidelines to more inclusive residential design guidelines, which will cover multi-family units. We plan to present the new guidelines to the County. The increased fees for multi-family units should be put into community planning.

Commercial Area Master Plan Presentation: Efforts have been made to try to put rules and regulations into the commercial area. The rate at which it develops is up to the people who own the property. Al Smith announced that the focus of the annual meeting this year would be to introduce the homeowners to the draft of the Design Guidelines for the Crested Butte South Commercial Area Master Plan and also allow for questions from the audience following the presentation. The plan has been prepared by Julie Ann Woods of The Elk Mountains Planning Group, Inc. It depicts the potential development of the commercially-designated lots in Blocks 4, 5, and 6 of Crested Butte South. The Board of Directors of the Property Owners Association also has the intention of presenting a final Commercial Area Master Plan to Gunnison County in hopes that we may gain its approval and be able to administer the development of the commercial area in accordance with our guidelines. Al expressed that we want to have a positive aspect to moving forward with the growth of Crested Butte South.

Al introduced Julie Ann Woods, representative of The Elk Mountains Planning Group, Inc. She has experience as a planner for 25 years, has worked with the Town of Crested Butte, and also with Mt. Crested Butte on their Town Center Project. Julie Ann has also worked in Ludlow, VT, and is very familiar with the ski resort environment. She was hired by CB South to help us go through a master planning process. Local committee members for the commercial area include: Dave DiBerardino, Claire Haverland, Eric Lamb, Eric Roemer, Oliver Jeffery, and Al Smith.

Julie Ann presented a slide program of the work that her group has done for the Crested Butte South Commercial Area. A copy of the draft design guidelines will be attached to these minutes. A show of hands following the presentation indicated that the property owners present were generally in agreement with the direction the Board of Directors has gone.

ELECTION OF NEW BOARD MEMBERS
Ballots were available for those property owners in attendance. Ballots were collected before and after the annual meeting and added to the ballots that were mailed and faxed to the office prior to August 6, 2005. All ballots were verified for owners in good standing.

When the count was completed, Leigh Dillenback announced the new board members. They are: Peter Carey and Dave DiBerardino

Al adjourned the meeting at 11:50 a.m.
